CEE Legal Matters shortlisted DP World’s acquisition of 51% stake in TIS Container Terminal for the Deal of the Year Award for Ukraine. On this landmark multimillion-dollar transaction, Marchenko Partners acted for DP World (the buyer). It was one of the biggest M&A transactions in Ukraine in 2020 and one of the largest M&A infrastructure deals in the country for the last 10 years.
This acquisition expands DP World’s operations as well as strengthens TIS Container Terminal as one of the key market leading purpose-built terminals in Ukraine by leveraging DP World’s global network of ports, economic zones, warehousing and inland logistics solutions. For Ukraine, with its historically low FDI level, this deal is an important sign of trust from a major world investor as well as an indication of so much-awaited improvement of the Ukrainian investment climate.
Furthermore, this acquisition makes Ukraine’s trade more resilient during challenging economic times and gives DP World the potential to offer a unique Black Sea product by linking its terminals in Constanta and Yarimca with TIS Container Terminal using its Unifeeder network. This suite of trade enabling solutions, coupled with DP World’s technology to remove inefficiencies in the supply chain, offers cargo owners the ability to deploy their cargo strategically across essential trade lanes that serve Eastern European markets and complement DP World’s existing portfolio in Romania and Turkey.
Marchenko Partners’ corporate team working on the transaction involved Partner Roman Shulyar, and Associates Ruslan Yurchenko, Oleksandr Poznyakov and Bogdan Burlaka. Legal support on antitrust matters was provided by Partner Oleksandr Aleksyeyenko and Senior Associate Sviatoslav Henyk.
DP World is a Dubai-based provider of worldwide smart end-to-end supply chain logistics, with a global network of 123 business units in 54 countries. TIS Container Terminal is a Ukrainian company operating one of the largest and most technologically advanced container terminals in Ukraine located in the Black Sea port of Pivdennyi.
