Marchenko Partners acted for an EU registered bank in connection with an extension of credit limit of trade finance facility. The borrower under the facility was a European holding company of a Ukrainian agricultural group. The facility was secured by a corporate suretyship from a Ukrainian company of the borrower’s group, which suretyship required relevant adjustment to reflect the increased secured obligations.
Our services included a limited scope due diligence of the Ukrainian surety; commenting (from Ukrainian law perspective) on draft amendment to the facility agreement; drafting and negotiating amendment to the Ukrainian law governed suretyship agreement; and issuing a Ukrainian law opinion.
