Marchenko Partners acted for Swiss fund on US$15 million PXF financing

Marchenko Partners advised a Swiss fund on a US$15 million pre-export financing.  The borrower under the PXF loan was a major Ukrainian agricultural group who needed credit funds to facilitate export of Ukraine-grown wheat, soya and corn.  Our Client acted simultaneously as a lender and a purchaser of the exported grain.

We covered both the financing (PXF loan) and commercial (purchase of agricultural products) aspects of the deal.  Marchenko Partners’ lawyers helped the Client structure the transaction, took part in negotiations with the borrower, commented on English law governed documents (sale, purchase and prepayment agreement as well as corporate guarantee), drafted Ukrainian law governed grain pledge agreement, and advised on applicable currency control, contractual and regulatory issues of Ukrainian law.
